The Belgian Competition Authority has closed its investigation into Live Nation’s acquisition of the Pukkelpop music festival after securing binding commitments that preserve the festival’s operational and artistic independence for at least ten years.
The investigation was initiated in November 2025 following instructions from Belgium’s Vice-Prime Minister and Minister for Economic Affairs David Clarinval. Because the acquisition did not meet national financial filing thresholds for formal merger control, regulators utilized European abuse-of-dominance rules under the European Court of Justice’s Towercast precedent, which allows competition authorities to review non-reportable concentrations.
Regulators focused their inquiry on the market effects of consolidating large-scale Belgian festivals under Live Nation, which already operates Rock Werchter and Graspop Metal Meeting. Given Live Nation’s vertical integration across artist booking, venue management, and ticketing, the authority evaluated whether the takeover could lead to inflated ticket pricing, degraded festival quality, or restricted access to artists for competing organizers.
To address these antitrust concerns without prolonged litigation, Live Nation submitted legally binding structural commitments. Under the agreed terms, Live Nation retains formal ownership of Pukkelpop, but full operation of the festival and its assets will be transferred to an entity controlled by festival founder Chokri Mahassine, with the option to pass exclusive operating rights to an independent third party.
The operational entity maintains sole decision-making authority over programming, artist bookings, ticket pricing, dates, capacity, venue, and supplier selections. While Pukkelpop may procure standalone services from Live Nation at market rates on a non-exclusive basis, Live Nation cannot mandate operational decisions.
The commitments remain binding for ten years, with a potential five-year extension subject to market conditions. An appointed monitoring trustee will oversee compliance. The decision resolves the regulatory inquiry without an official finding of infringement against Live Nation.
