Romania’s Competition Council has launched a formal review into two separate transactions involving French group Syclef Holding SAS, which seeks to acquire controlling stakes in four domestic refrigeration and equipment companies.
The first transaction entails Syclef Holding obtaining control over Unicool Instalații Frig SRL and Acsa Coolteam SRL via its local investment vehicle, Syclef Romania SRL. Former owners Mihai-Călin-Nicolae Bara, Ioan-Cristian Popa, and Horia-Sorin Stoica will retain minority stakes through Frigoholding SRL. Unicool Instalații Frig specializes in commercial refrigeration equipment distribution, industrial cooling solutions for factories and warehouses, assembly services, and integrated HVAC systems. Acsa Coolteam focuses primarily on the distribution of commercial refrigeration equipment.
The second transaction involves Syclef Romania SRL acquiring an 80 percent majority stake in Horeco Impex SRL and Frigoclima SRL from the Niculescu family. The sellers will retain a 20 percent stake through Horeco Holding Roinvest SRL. Horeco Impex delivers integrated industrial refrigeration services spanning engineering, design, project management, commissioning, and post-sale maintenance. Frigoclima operates as a specialized subcontractor providing installation and technical support for Horeco Impex.
Syclef Holding operates internationally in the design, installation, and maintenance of medium- and large-scale commercial and industrial refrigeration systems, supporting supermarket chains, logistics platforms, and food processing facilities.
Under Competition Law No. 21/1996, the antitrust authority must evaluate both operations to ensure they maintain market compatibility and do not distort fair competition within Romania. Third parties are invited to submit comments or observations to the Competition Council via mail, fax, or email within 20 days of the official announcement.
