The Portuguese Competition Authority (AdC) has decided to initiate an in-depth Phase 2 investigation into the proposed acquisition of Cordvida Portugal and Stamcriovitae by Stemlab. Originally notified in May 2026, the transaction would grant Stemlab exclusive control over both companies, including Stamcriovitae’s subsidiary, Bebévida – Ciências para a Vida.
The regulatory body cited serious doubts regarding the transaction’s compatibility with national competition laws, expressing concern that the consolidation could significantly harm competition in the affected markets. Following the preliminary Phase 1 assessment, the AdC’s Board of Directors concluded that the information gathered so far raises substantial issues that necessitate a more thorough examination under Article 50 of the Portuguese Competition Law.
All entities involved in the transaction operate within the stem cell cryopreservation sector. Stemlab, known commercially by its registered trademark Crioestaminal, provides analysis, processing, and storage services for umbilical cord blood, umbilical tissue, and other biological components at its own specialized facilities. Similarly, target companies Cordvida, Stamcriovitae, and Bebévida offer matching processing and cryopreservation services through their own dedicated infrastructure.
Because the transaction merges key market participants in biological sample processing and storage, the AdC will focus its in-depth review on the potential competitive impact across the sector. The Phase 2 proceeding will allow regulators to further evaluate market concentration levels, assess potential barriers to entry, and determine whether the transaction threatens consumer choice or service pricing prior to issuing a final decision.
