Spain’s National Markets and Competition Commission (CNMC) has launched a formal disciplinary proceeding against Lyntia Networks, S.A.U. for potentially failing to comply with commitments tied to its 2019 acquisition of dark fiber optic network rights from energy group Iberdrola.

In July 2019, the competition regulator approved Lyntia’s acquisition of usage rights and contractual positions across fiber optic cable networks and associated elements owned by several Iberdrola subsidiaries. To resolve potential competition concerns in the dark fiber sector without pushing the transaction into a prolonged secondary investigation, the CNMC made its initial merger clearance conditional on a set of structural and behavioral commitments offered by Lyntia.

These binding remedies included specific reporting obligations designed to ensure market transparency and enable regulatory oversight. Lyntia was required to submit documentation upon request, provide detailed annual reports during the first quarter of each calendar year, and supply periodic disclosures regarding unfulfilled service requests alongside terminated or renewed commercial contracts.

In July 2026, the CNMC Council officially declared that Lyntia had breached these terms by failing to submit required reports on time and delivering incomplete reporting content under its ongoing commitments. Based on these findings, the regulator instructed its Competition Directorate to initiate disciplinary proceedings for suspected statutory violations.

The opening of the sanctioning case starts a maximum three-month period for instruction and resolution. The CNMC emphasized that initiating the file does not prejudge the final outcome of the administrative investigation. In response to the regulator’s initial finding of non-compliance, Lyntia has filed an appeal before Spain’s National Court (Audiencia Nacional), which remains pending a judicial decision.
