Swedish Authority Issues Updated Merger Guidance

The Swedish Competition Authority, known as Konkurrensverket, has published updated guidance covering the notification and review of corporate mergers and acquisitions. The revised regulatory framework enters into force on August 1, 2026, and is designed to strengthen the watchdog’s capacity to identify, evaluate, and prohibit market concentrations that threaten effective competition.

The new guidance details the specific administrative procedures Konkurrensverket will apply when receiving and processing merger notifications. By outlining these procedural rules, the regulator aims to increase transparency, improve predictability for businesses, and ensure that transaction parties have a clear path to assist in efficient, timely investigations.

Central to the upcoming legal changes is Konkurrensverket’s expanded authority to intervene against transactions that threaten competition within localized markets. Starting August 1, the authority can mandate that specific companies provide advance notice of planned acquisitions, even if those transactions fall below standard notification thresholds under Chapter 4, Section 6 of the Swedish Competition Act. This informational obligation grants regulators greater visibility into smaller or regional transactions, allowing them to detect and scrutinize potential anti-competitive deals before completion.

In addition to expanding its reach over local acquisitions, Konkurrensverket updated its procedural guidance to reflect revised statutory timelines for in-depth special investigations. The revisions also integrate the regulator’s newly granted power to levy investigation fines against non-compliant parties, marking a broader effort to streamline merger enforcement across Sweden.
