The Competition Council has launched a review into the acquisition of a 50% stake in the Austrian company AMW Asphaltmischwerk Hinzenbach GmbH by Felbermayr Bau GmbH & Co KG. Following the completion of the transaction, the target company will be jointly owned by Felbermayr Bau and another Austrian firm, Held & Francke Baugesellschaft m.b.H.
The primary business activity of AMW Asphaltmischwerk Hinzenbach is the operation of an asphalt mixing plant. The acquiring company, Felbermayr Bau, offers a wide range of industrial services, including heavy transport, lifting technology, building construction, civil engineering, and demolitions. It also engages in gravel trading, construction waste landfill operations, and waste management solutions. Meanwhile, Held & Francke Baugesellschaft specializes closely in building construction and civil engineering.
Because both Felbermayr Bau and Held & Francke carry out economic activities within Romania, the transaction falls under the jurisdiction of national antitrust laws. In accordance with Competition Law No. 21/1996, the merger must be formally authorized by the Competition Council. The regulatory body will evaluate the transaction to ensure it is compatible with a normal competitive environment and will issue an official decision within the legally prescribed timeframe.
The antitrust authority has opened a 20-day window from the date of the announcement for third parties to submit observations or concerns regarding the venture. Comments can be directed to the Competition Council via fax, email, or postal mail at their headquarters in Bucharest.
