UK Watchdog Launches Antitrust Probe into Danone’s €1 Billion Takeover of Huel

The UK’s Competition and Markets Authority (CMA) has officially launched a Phase 1 merger inquiry into Danone’s proposed acquisition of the complete nutrition brand Huel. Following an initial information-gathering phase held between May and June, the regulator announced on July 15, 2026, that it is formally investigating the transaction. The CMA has set a statutory deadline of September 11, 2026, to determine whether the acquisition could significantly lessen competition in the United Kingdom.

First announced in March 2026, the deal represents a major milestone for Danone as it seeks to expand its presence in the rapidly growing functional nutrition sector. The acquisition aligns with the French multinational’s “Renew Danone” strategy, which focuses on health-focused and active lifestyle categories. Huel has spent a decade building a highly successful, digitally native brand known for its nutritionally complete, plant-based powders and ready-to-drink shakes. Danone’s Chief Executive Officer, Antoine de Saint-Affrique, welcomed the partnership, noting that combining Huel’s robust direct-to-consumer digital capabilities with Danone’s global reach creates exciting opportunities to deliver health through food.

For Huel, the transaction marks a massive leap forward in its international expansion. Huel’s Chief Executive Officer, James McMaster, emphasized that joining forces with Danone provides the brand with the essential infrastructure, distribution networks, and research capabilities required to meet the rising global demand for convenient, complete nutrition. While Huel has successfully scaled its retail and digital footprint independently, corporate backing is expected to accelerate its growth in new markets.

However, both companies must now wait for the CMA to finish its assessment. Over the coming weeks, the UK watchdog will evaluate whether the merger unfairly consolidates market power or restricts consumer choice in the healthy food sector. If the CMA raises no objections by its September deadline, the acquisition will proceed, allowing Danone to fully integrate Huel and secure a major stronghold in the active nutrition market.
