Swedish Authority Launches In-Depth Probe into Telia–Bredband2 Merger

The Swedish Competition Authority (Konkurrensverket) has announced the launch of a Tspecial investigation (phase II review) into Telia Company AB’s proposed acquisition of Bredband2 i Skandinavien AB. The decision follows concerns that the transaction may restrict effective competition in the Swedish broadband market.

On 12 September 2025, Telia Company AB (“Telia”) notified the authority of its intention to acquire sole control over Bredband2 i Skandinavien AB (“Bredband2”). Both Telia—through its subsidiary Telia Sverige AB—and Bredband2 provide fixed broadband services via fiber to private consumers, housing associations, businesses, and public entities across Sweden.

The Swedish broadband market is characterized by a large number of fiber-based service providers. However, five national operators, including Telia and Bredband2, account for the majority of the end-user market. Alongside these major players, a number of smaller regional and local providers operate in various parts of the country.

In its initial assessment, the Competition Authority concluded that it could not rule out the possibility that the proposed concentration may significantly impede effective competition. To conduct a more comprehensive analysis of the transaction’s potential impact on the market and on consumers, the authority has therefore decided to initiate a special investigation.

Under Swedish merger control rules, the Competition Authority now has three months—until 17 January 2026—to complete its review. By that date, the authority must determine whether to clear the transaction unconditionally, impose remedies, or prohibit the merger altogether.

The case will be closely watched given Telia’s already strong position in the Swedish broadband sector and the strategic importance of maintaining competition and innovation in digital infrastructure markets.
