Denmark Approves Merger Between Middelfart Sparekasse and Nordfyns Bank

The Danish Competition and Consumer Authority has approved the planned merger of Middelfart Sparekasse and Nordfyns Bank. According to the Authority, the transaction raised no competition concerns and received no objections during the review process, allowing it to be cleared under the simplified merger procedure.

Ann Sofie Vrang, Head of the Mergers Unit, commented that the merger met all conditions for simplified assessment, which relies primarily on information submitted by the parties, the Authority’s existing knowledge of the relevant markets, and the absence of third-party objections. She noted that this procedure ensures a swift and efficient approval process for mergers that do not raise substantive competition issues.

Under the merger, all assets and liabilities of Nordfyns Bank will be transferred to Middelfart Sparekasse, which will continue as the surviving entity.

This is the second attempted merger involving Nordfyns Bank in 2025. The Authority previously approved a merger between Fynske Bank and Nordfyns Bank in July 2025, but that transaction was ultimately not completed. Middelfart Sparekasse and Nordfyns Bank subsequently entered into a new merger agreement.

Middelfart Sparekasse is a guarantee savings bank headquartered in Middelfart, operating 16 branches across Funen, Jutland, and Copenhagen, and serving approximately 99,000 customers at the end of 2024. Nordfyns Bank, headquartered in Odense, is a listed limited liability company with seven branches and three business centres on Funen and around 26,000 customers.
