The Competition Council is currently examining the proposed acquisition of several Spanish aerospace suppliers by the French company Airbus Atlantic, S.A.S. The transaction involves six Spanish entities: Mecanizaciones Aeronáuticas, S.A., Himec Aero, S.L., NMT Aerospace Machining, S.L., Gepro Systems, S.L., Orisol Montajes Avanzados, S.L., and Tratamientos y Procesos Finales Aeronáuticos, S.L.U.
Airbus Atlantic operates primarily as an aircraft manufacturer while also providing key aerostructures, including wings, fuselages, pylons, nacelles, and tail assemblies. The target companies operate as specialized suppliers of component parts for aerostructures, specifically wings and fuselages.
Within Romania, the wider Airbus Group maintains an established operational footprint through three local subsidiaries active in manufacturing as well as maintenance, repair, and overhaul sectors: Airbus Aerostructures SRL, Airbus Helicopters Romania SA, and Airbus Defence and Space Romania SRL. Although the six Spanish target firms do not operate physical subsidiaries within Romania, they generate turnover on Romanian territory, thereby bringing the planned acquisition within the purview of national regulatory oversight.
Under the provisions of Competition Law No. 21/1996, the multi-company acquisition requires formal authorization from the Competition Council. The antitrust authority will evaluate the deal to determine its compatibility with a normal competitive environment and issue an official decision within the legally prescribed deadlines.
