On 14 November 2025, the KNDS Group notified the French Competition Authority of its intention to assume sole control of Texelis Defense. Following its review, the Authority approved the transaction without conditions, concluding that the operation is unlikely to have any adverse effects on competition.
Texelis, formerly part of Arquus (previously Renault Trucks Defense), is a French company specialising in mobility solutions for the defense and transportation sectors. Its defense business, which focuses on land mobility and the design of armored vehicle solutions, will be fully transferred to the newly created entity, Texelis Defense.
The KNDS Group, formed through the merger of Krauss-Maffei Wegmann and Nexter, operates in the production of military land systems. Its subsidiary, KNDS France, designs and manufactures armored vehicle systems, including wheeled and tracked vehicles, as well as combat systems, artillery, and ammunition. KNDS France supplies these systems to the French government, allied armed forces, and other international clients. The company is also involved in the French Army’s Scorpion modernization program, participating in the development of the Griffon and Jaguar vehicles alongside Arquus and Thales, and contributing to the refurbishment of the Leclerc main battle tank.
A temporary joint venture between Texelis and KNDS France is currently providing the French Army with the mobility solution for its new 4×4 Serval vehicle. In this partnership, Texelis supplies the mobility platform, while KNDS France is responsible for manufacturing, assembling, and equipping the vehicle.
The Competition Authority determined that the transaction does not present risks to competition. There is no overlap in the parties’ activities, nor any indication that the operation would restrict market access for competitors. On this basis, the Authority granted unconditional approval for KNDS Group to take sole control of Texelis Defense.
