The Romanian Competition Council has officially commenced an investigation into a proposed transaction that would alter the ownership structure of Anima Wings Aviation S.A. The deal involves the entry of three major investment entities into the airline’s shareholding: BT Asset Management S.A.I. S.A., Winners Holding Investments S.R.L., and Evergent Investments S.A. As a key player in the Romanian passenger aviation sector and a member of the Memento Group, Anima Wings represents a strategic asset within the domestic transport market.
The profile of the incoming investors highlights the financial weight behind the move. BT Asset Management operates as a specialized investment management firm within the prominent Banca Transilvania Financial Group, while Evergent Investments is a well-established investment company listed on the Bucharest Stock Exchange. These entities, alongside the investment-focused Winners Holding, aim to provide new capital or strategic direction to the carrier.
This review is being conducted under the specific provisions of the Romanian Competition Law No. 21/1996. The primary objective of the Council is to determine whether this change in control remains compatible with a healthy and competitive market environment. By analyzing the overlap of interests and market shares, the authority ensures that the concentration of economic power does not lead to a reduction in consumer choice or unfair advantages within the aviation or financial services sectors.
In accordance with standard antitrust transparency protocols, the Competition Council has opened a twenty-day window for third parties to submit observations. Stakeholders, including competitors and industry analysts, are invited to share their views via fax or email to assist the authority in its final assessment. This evaluative phase is a mandatory step before the transaction can be legally finalized, ensuring that the evolution of the Romanian airline industry aligns with fair trade principles.
