Sky Moves to Acquire ITV Media Unit in $2.18 Billion Deal

According to a report by Reuters, Comcast-owned Sky is entering the final stages of negotiations to acquire the Media and Entertainment unit of ITV. The proposed transaction, valued at approximately £1.6 billion ($2.18 billion), represents a significant consolidation of the British television landscape. A key feature of the ongoing discussions is a performance-based payout structure, often referred to as an earn-out, which would see roughly £200 million ($270.34 million) of the total compensation tied to the unit’s future financial success.

The strategic goal behind this tie-up is the creation of a powerful UK streaming entity capable of challenging the dominance of global giants like Netflix, Disney+, and Amazon Prime Video. By combining forces, Sky and ITV’s media business hope to secure a top-three position in the domestic streaming market. This move comes at a time of heightened volatility in the traditional broadcast sector, where legacy channels are grappling with a steady decline in advertising revenue and shifting viewer habits.

The deal also involves a secondary asset swap designed to benefit ITV Studios. As part of the terms, ITV’s production arm is set to acquire a specialized Sky production unit. This acquisition would grant ITV Studios the rights to several scripted television series, bolstering its intellectual property portfolio as its parent company exits the broader media and entertainment space. Following the completion of the sale, ITV Studios is expected to operate as a standalone business, focusing entirely on content production and distribution.

While negotiations had previously slowed due to the complexities of spinning out the production units, sources indicate that a formal announcement could come as early as next month. However, insiders caution that the deal is not yet finalized and remains subject to successful financing and the resolution of confidential terms. Both Comcast and ITV have declined to provide official comments on the progress of the talks.
